1. About us

This website, whotex.co.uk, is operated by Whotex Ltd ("Whotex", "we", "us", "our"), a company registered in England and Wales under company number 15963614. Registered office: 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. Email: sales@whotex.co.uk. We trade online only and do not operate a physical shop.

2. Agreement to these terms

By visiting our website or placing an order, you agree to these Terms of Service together with our Shipping Policy, Refund & Return Policy and Privacy Policy. If you do not agree, please do not use the website or place an order. Our online store is hosted on the Shopify platform.

3. Your statutory rights

If you are a consumer, nothing in these terms affects your legal rights. In particular, under the Consumer Rights Act 2015 goods must be of satisfactory quality, fit for their purpose and as described, and under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 you generally have the right to cancel an order within 14 days of receiving the goods, subject to the exceptions explained in our Refund & Return Policy (for example, goods made to your specification).

4. Using our website

You must be at least 18 years old to place an order. You agree to use the website lawfully and not to: transmit viruses or other harmful code; interfere with the security or operation of the site; scrape, crawl or copy the site or its content without our written permission; submit false or misleading information; or use the site to infringe the rights of others. We may suspend or restrict access to the website where we reasonably believe these terms have been breached.

5. Products and product information

We take care to describe and photograph our fabrics accurately. Please note that colours may appear slightly different on different screens, that printed and dyed colours can vary slightly between production batches, and that widths, weights and other measurements are approximate. Unless stated otherwise, fabrics are sold by the metre and quantities above one metre are supplied as a single continuous piece. Samples are available on request.

6. Prices and payment

Prices for UK customers are shown in pounds sterling (£) and include VAT. Delivery costs are shown at checkout before you pay. We may change prices at any time, but changes will not affect orders that have already been confirmed. If we discover an obvious pricing error, we may cancel the affected order and will refund you in full. We accept the payment methods shown at checkout, which may include major credit and debit cards, PayPal, Apple Pay and Klarna. Payments are processed securely by our payment providers and we do not store your full card details.

7. Orders and contract

When you place an order you will receive an email acknowledging it. This is not acceptance of your order. A binding contract is formed when we send you a dispatch confirmation email. We may decline or cancel an order, for example if an item is out of stock, if there is an error in pricing or product information, or if we cannot verify your payment; if so, we will tell you and refund any amount already paid. Trade and wholesale orders (from 100 metres) are supplied on the terms of the written quotation we send you, which prevails over these terms if they conflict.

8. Made-to-order and custom print fabrics

Some of our fabrics are printed or made to order, and these are marked on the product page. Fabrics marked "Made to order", and fabrics printed to your own design (for example, designs you upload through our "Print Your Own Pattern" product), are made specially for you and cannot be cancelled or returned for change of mind once production has started. This does not affect your rights if the goods are faulty, damaged or not as described.

If you supply artwork, you confirm that you own it or have permission to use it for printing, and that it does not infringe anyone else's rights or contain unlawful material. We may refuse or cancel an order where we reasonably believe this is not the case and will refund you in full if production has not started. Printed colours may differ slightly from how artwork appears on screen.

9. Delivery

Delivery options, charges and estimated delivery times are set out in our Shipping Policy. Delivery dates are estimates and not guaranteed. Risk in the goods passes to you when they are delivered to you, and ownership passes when we receive full payment.

10. Returns and refunds

Returns, cancellations and refunds are governed by our Refund & Return Policy. Refunds are made to the original payment method.

11. Our liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

If you are a consumer, we are responsible for foreseeable loss and damage caused by our breach of these terms or our negligence. We are not responsible for loss that was not foreseeable, and as we supply goods for domestic and private use only, we are not liable for lost profit, lost business or business interruption.

If you are a business or trade customer, to the extent permitted by law we exclude all implied terms and are not liable for indirect or consequential loss or loss of profit, and our total liability for any order is limited to the price you paid for the goods ordered.

12. Third-party links and tools

Our website may link to or use tools and services provided by third parties. We do not control them and are not responsible for their content, availability or policies. Please review their terms before using them.

13. Reviews and comments

If you submit reviews, comments, photos or other content to us, you confirm that it is truthful, lawful and does not infringe anyone's rights, and you grant us a free, non-exclusive licence to use, display and reproduce it in connection with our business. We may remove content that is unlawful, offensive or misleading.

14. Intellectual property

All content on this website, including text, images, logos, designs and prints created by us, belongs to Whotex Ltd or its licensors and is protected by intellectual property law. You may not copy, reproduce or use it for commercial purposes without our written permission. Buying fabric from us does not give you the right to reproduce our designs on other products for resale unless we have agreed this in writing.

15. Privacy

We handle your personal data in accordance with our Privacy Policy and UK data protection law.

16. Events outside our control

We are not responsible for delay or failure to perform our obligations caused by events outside our reasonable control, such as courier or customs delays, severe weather, strikes, supplier failures or network outages. If this happens we will contact you and take reasonable steps to minimise the impact. This does not affect your rights to a refund where goods are not delivered.

17. Changes to these terms

We may update these terms from time to time. The version published on this page when you place an order is the version that applies to that order.

18. General

If any part of these terms is found to be unenforceable, the remaining parts continue to apply. If we do not enforce a right straight away, this does not mean we give it up. These terms, together with the policies referred to above, are the entire agreement between you and us about your use of the website and your orders, without affecting your statutory rights. Only you and we have rights under these terms; no third party may enforce them.

19. Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts. If you live outside the UK, you keep the mandatory consumer protections of your country of residence.
